The taxation of companies on an international level generally follows the principle of decision-making power. A company is thus taxable in the country where ‘Management & Control’ is exercised.
In general, international authorities assume that ‘Management & Control’ of a company is exercised in the same country where the general manager/director resides.
Therefore, if the residence of the shareholder is outside of Panama, it makes sense to at least appoint respective Nominee-Directors or local general managers/directors at the registered office of the company.
The level of authority of the Nominee-Directors can be contractually determined according to the individual needs of the shareholder as well as the legal framework.
Additionally, an appropriate business address as well as a local telephone number with personal answering service is not only advisable, but in the majority of cases required. Whether a postal address, Office-Service or even business premises - we can offer you service packages for all your needs.
Note: It is of course also possible to appoint local managing directors instead of using Nominee-Directors, should you prefer to do so. We are happy to advise you on the one-off and running costs upon request!

In many cases the appointment of Nominee-Directors is not sufficient to fully comply with national substance requirements, for example in the countries the clients are based. In such cases, it is often required to at least have one business address from which the company in Panama officially conducts its business.
With our Management-Package ‘Management & Control incl. Office-Service’, your company doesn’t only get the required number of Nominee-Directors but also a representative office address in Panama with a landline number and postal service, including forwarding. When required, you can also use this space for work on an hourly or daily basis as well as hold team or client meetings.
The Basic-Management-Package ‘Management & Control incl. Office-Service’ is particularly suited to
- Companies without their own staff or local office,
- Digital Nomads,
- Digital entities that have no or minimal local staffing requirements.
In many cases therefore, national substance requirements that other countries may impose on your company, can already be met. We are of course happy to advise you on the different options and the ideally suited variants available to you.
The Basic-Management Package ‘Management & Control incl. Office-Service’ includes the following:
- Up to three Nominee-Directors for a full twelve months,
- A comprehensive consultation on the needs-based employment of directors,
- Preparation of individual contracts for the directors,
- A basic introduction to corporate documentation which includes the framework and guidelines for the company directors,
- A representative office address in Panama,
- A local telephone number with personal answering service,
- A P.O. Box with postal service including forwarding (for a fee).
The use of the shared office and conference room is possible on an hourly or daily basis and will be charged accordingly. If more intensive use of these facilities is required, it may be beneficial to choose the Shared-Office option. We are happy to advise you on this.
